2. Description of Services
BakuSoftHub provides comprehensive IT services including but not limited to:
- Custom software development
- Web development and design
- Mobile application development
- Cloud solutions and infrastructure
- IT consulting and support
- System integration and maintenance
3. User Obligations
3.1 Lawful Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:
- Violate any applicable local, state, national, or international law
- Infringe on the rights of others, including intellectual property rights
- Engage in any fraudulent, deceptive, or misleading activities
- Interfere with or disrupt our services or servers
3.2 Account Security
If you create an account or receive access credentials, you are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
4. Service Terms
4.1 Project Scope
All projects are subject to a detailed scope of work document that will be agreed upon before project commencement. Changes to project scope may result in additional charges.
4.2 Timeline and Delivery
Project timelines are estimates based on the agreed scope. Delays caused by client requirements changes, feedback delays, or external factors may extend delivery dates.
4.3 Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and specifications
- Timely feedback and approval of deliverables
- Providing necessary access to systems and resources
- Making payments according to agreed terms
5. Payment Terms
5.1 Pricing
All prices are quoted in the currency specified in the project proposal and are subject to the terms outlined in individual service agreements.
5.2 Payment Schedule
Payment schedules will be specified in individual project agreements. Generally:
- Project deposits are required before work commences
- Milestone payments may be required for larger projects
- Final payment is due upon project completion
- Ongoing services may require monthly or annual payments
5.3 Late Payments
Late payments may result in project suspension and additional charges. We reserve the right to charge interest on overdue amounts.
6. Intellectual Property
6.1 Ownership
Upon full payment for custom development services, clients receive ownership rights to the final deliverables. However, BakuSoftHub retains rights to:
- General methodologies and know-how
- Pre-existing intellectual property
- Tools and frameworks used in development
6.2 Third-Party Components
Some projects may include third-party components subject to their own licensing terms. We will identify such components and their licensing requirements.
7. Confidentiality
We understand the importance of confidentiality in business relationships. We commit to:
- Keeping all client information confidential
- Not disclosing project details to third parties
- Implementing appropriate security measures
- Having team members sign non-disclosure agreements
8. Warranties and Disclaimers
8.1 Service Warranty
We warrant that our services will be performed with professional skill and care. We provide bug fixes and corrections for a specified period after project delivery.
8.2 Disclaimers
Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not warrant that our services will meet all your requirements or be error-free.
9. Limitation of Liability
To the maximum extent permitted by law, BakuSoftHub's liability for any claims arising from our services shall be limited to the amount paid by the client for the specific service giving rise to the claim.
We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.
10. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.
11. Termination
Either party may terminate a service agreement with appropriate notice as specified in the individual agreement. Upon termination:
- All outstanding payments become immediately due
- Each party retains their respective rights and obligations
- Confidentiality obligations continue
- Work products may be delivered based on payment status
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan. Any disputes shall be subject to the jurisdiction of the courts of Baku, Azerbaijan.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to clients with reasonable notice. Continued use of our services constitutes acceptance of the modified Terms.
